This is to advise you that a special meeting of the “General Council” of FOKANA will be held per particulars below:

Date:  Saturday, November 17, 2007

Time: 10:00 am to 3:00 pm

All General Council members (Executive Committee, Board of Trustees, current and immediate past presidents of the member associations and authorized representatives of the member associations) are requested to attend the meeting. All association’s presidents are requested to submit the list of delegates attending the meeting, by Nov 10, 2007. For your information’s a copy of the Article V, Sections 1 & 2 and Article XIV, Sections 1, 2 & 3 of the FOKANA constitution and by-laws are attached.

CONSTITUTION AND BY_LAWS OF FOKANA

 
Article V. GENERAL COUNCIL OF REPRESENTATIVES.

Section 1:        The General Council of representatives, herein after referred to as

the “General Council” or  “Council”, is the supreme forum of the “Federation” and shall be composed of the following representatives drawn from the constituent member organizations/ individuals:

i.         Board of Trustees

ii.       All the members of the “Board of directors”

iii.      Representatives of member organization based on proportional representation as per section 2 of the article.

iv.     Representatives elected from among the ‘members-at-large”

Section 2.     Regular / Associate members. Regular and associate members shall

have proportional representation in the Council on the basis of the following table:

            Up to 25 dues paying members          – 1 representative

            Up to dues paying members               – 2 representative

            Up to dues paying members               – 3 representative

            Up to dues paying members               – 4 representative

            500 and above dues paying members – 5 representative

 
Article XIV. AMENDMENTS

 
Section 1.        This constitution may be amended by the “General Council” of  Representatives at any meeting thereof provided written notice of the proposed amendment has been mailed to all members not later than thirty (30) days prior to such meeting.

 
            Section 2.        An affirmative vote of majority of two-third of the members present and voting such meeting shall constitute an acceptance of the proposed amendments.

 
Section 3.        Eligibility: A candidate running for elected office shall be a person  of good-standing and be recommended by the Member Association.
